NATALIE VON ROM.

After many years in German and international commercial law firms, Natalie von Rom has been focusing on notarial work since her appointment as a notary in 2014. Her main practice areas are notarial support for real estate transactions, as asset or share deals, corporate restructuring measures and cross-border projects. Clients value her structured thinking and her ability to provide solution-oriented support for complex issues — particularly under time pressure.

DR. ANDREAS JÜRGENS.

Dr. Andreas Jürgens has been qualified as lawyer since 1994 and was appointed a notary in 2012. Prior to founding the partnership von Rom Jürgens, he focused as a lawyer on clients and projects relating to M&A and private equity transactions as well as corporate restructuring. Since his appointment as a notary he has also overseen numerous transactions in this capacity.

Real Estate Law.

One focus of our practice is real estate law — we provide comprehensive support in the preparation, notarization, and execution of private and commercial real estate transactions — whether it involves the purchase of a flat, a plot of land, a real estate portfolio, or the creation of rights in rem.

Purchase and sale of residential and commercial properties of any size (asset and share deals)

Support for land development projects from acquisition through development to subdivision and individual sale

Support of project developments, real estate investors and funds

Notarization of property developer contracts

Implementation of complex portfolio transactions

Creation, assignment and cancellation of mortgages

Encumbrance of properties with usufruct, residential and/or pre-emption rights

Formation of condominium and partial ownership

Corporate Law / M&A.

We support founders, shareholders, investors and companies on all corporate law matters, from the incorporation throughout the entire life cycle. Examples include shareholder meetings, restructuring and corporate transactions.

Formation and liquidation of corporations and partnerships

Recording of shareholder meetings and general meetings

Notarization of amendments to articles of association and capital measures

Notarization of shareholders’ agreements and joint venture agreements

Reorganization of corporate groups, in particular by means of conversion measures, conclusion, amendment and termination of group agreements of all kinds (e.g., domination and profit-and-loss transfer agreements)

Notarization of M&A transactions (asset or share deals) and support throughout closing

Holding creditor votes under the German Debt Securities Act

Cross-border transactions such as mergers and move of registered seat to other European countries or to Germany

Certificates of existence and representation for foreign companies; obtaining apostilles and legalization of document 

Support with general corporate matters ("corporate housekeeping")

In international legal affairs, we take care of the legalization of documents and, for example, the obtaining of Apostilles

 

Succession Planning.

We also assist on any questions you may have regarding the succession of your assets.

We advise on the preparation of powers of attorney and living wills so that no court-appointed guardian will be required to make decisions on your behalf.

We work with you to determine whether assets can be transferred to the next generation by way of so-called anticipated succession while ensuring that you remain adequately protected. 

We assist you — usually in close coordination with your tax advisers — in implementing your wishes for the time after your death in a last will, because without such arrangements statutory succession often leads to undesirable results and, without clear rules, may give rise to disputes.
